Terms of Service
Effective September 23, 2026 · Last updated September 28, 2026
These Terms of Service (“Terms”) are an agreement between you and AI Digital Productions LLC, which operates Midheaven (“Midheaven”, “we”, “us” or “our”). They apply to the Midheaven website at midheavenhq.com, the Midheaven app inside Whop, and the readings, tools and support we provide (together, the “Service”).
Midheaven is a mirror, not a verdict. Please read these Terms carefully. They explain automatic renewal and cancellation, what our readings are and are not, and the limits of our responsibility.
The short version
- Midheaven offers interpretive readings for reflection. They are not predictions or professional advice, and you are responsible for your decisions. Read the disclaimers.
- You must be 18 or older to use Midheaven.
- Memberships renew automatically until you cancel in Whop. Founder Weekly starts with a 3-day free trial; cancel before it ends and you pay nothing. See billing details.
- Your midheavenhq.com account and your Whop app account are separate. Memberships, credits and saved work do not move between them.
- This summary is here to help. The full Terms below are what apply.
1. Agreeing to these Terms
By creating an account, making a purchase or otherwise using the Service, you agree to these Terms. Our Privacy Policy explains how we handle your personal information. If you do not agree to these Terms, do not use the Service.
If you use Midheaven inside Whop, Whop’s own terms and privacy policy also apply to your Whop account, your purchases and your use of the Whop platform.
Some features or offers come with extra terms, such as the terms shown at checkout. Those terms become part of this agreement when they apply, and they take priority over these Terms for that feature or offer if the two conflict.
2. Who can use Midheaven
- You must be at least 18 years old and able to enter a binding contract. Midheaven is not intended for anyone under 18.
- You may not use the Service if the law prohibits you from doing so, or if we have previously closed your account for breaking these Terms.
- Your account is personal to you. Do not share it or let anyone else use it.
3. What Midheaven provides
Midheaven is a founder intelligence service. It combines several interpretive traditions with the business details you share, to help you reflect on your work and decisions. It uses:
- Western astrology, with the tropical zodiac and Placidus houses;
- Vedic astrology, with the sidereal zodiac and the Lahiri ayanamsa;
- BaZi, the Chinese Four Pillars system; and
- optional palm observations, drawn from photos of your palms that you choose to provide.
Planetary positions are calculated on our own servers using the Swiss Ephemeris, which we license from Astrodienst AG. The written interpretations are generated with the help of artificial intelligence (see AI-generated content).
The Service includes your Founder Blueprint; daily, weekly and monthly readings; Ask Midheaven, a conversation about your chart and your business; and Decision Briefs on specific decisions. Most features require a paid membership.
Your details shape your readings. Without an exact birth time, parts of a chart such as the rising sign, houses and timing are less reliable, so we limit or leave out those parts.
4. Your accounts
Website and Whop app accounts are separate
On midheavenhq.com, you sign in with an account provided through our sign-in provider, Clerk. Inside Whop, you use Midheaven with your Whop account. These are two separate accounts, each with its own workspace. We never merge them, even when they use the same email address.
Purchases stay where you made them
A membership or credit pack bought on midheavenhq.com belongs to that website account. One bought in the Whop app belongs to that Whop app account. Memberships, credits, allowances and saved work are not shared or transferred between the two.
Keeping your account secure
You are responsible for activity under your account and for keeping your sign-in details confidential. Tell us promptly at info@midheavenhq.com if you think someone has used your account without permission.
Accurate information
Please give accurate information and keep it up to date. Your readings depend on the details you provide.
5. Memberships, trials and billing
Automatic renewal and cancellation
Memberships renew automatically. At the end of each billing period, Whop charges your payment method the current price of your plan until you cancel.
You can cancel at any time in your Whop account under Orders. After you cancel, you are not charged again, and you keep access until the end of the period you have already paid for.
Payments are final. We do not offer refunds, including for unused time or credits.
Founder Weekly starts with a 3-day free trial. Cancel before the trial ends and you pay nothing. If you do not cancel, the trial becomes a paid weekly membership at $8.99 per week.
Plans
These plans are available as of the effective date of these Terms:
- Founder Weekly: $8.99 per week after a 3-day free trial. Renews every week.
- Founder Year: $297 per year, charged when you subscribe. No free trial. Renews every year.
Both plans include the same features and usage limits. Prices are in US dollars. The price, billing period and trial terms shown at Whop checkout are the ones that apply to your purchase. If they differ from other marketing copy, the checkout terms control.
Payments through Whop
Payments are processed by Whop. Whop handles checkout, subscriptions, taxes where applicable, receipts, cancellation controls and payment disputes, under its own terms. Midheaven never receives your full card number or other full payment credentials.
Free trials
To start the Founder Weekly trial, you give Whop a payment method. You are not charged during the trial. When it ends, your membership automatically becomes a paid weekly membership: you are charged $8.99, and again every week until you cancel. We may limit free trials to new members, for example one per person.
How to cancel
Open your Whop orders page, choose your Midheaven membership and follow the cancellation steps. Links to manage your membership also appear in the app. Canceling stops future renewals, and you keep access until the end of the period you have paid for. It does not delete your account or saved work; the Privacy Policy explains how to request deletion.
Failed payments
If a renewal payment fails, your paid access may stop until the payment succeeds.
Price changes
We may change our prices. If we change the price of a membership you already have, we will tell you before the change takes effect, and the new price will apply only from a renewal after that notice. If you do not want to pay the new price, cancel before it takes effect.
Refunds
All payments are final, and we do not offer refunds. This applies to memberships, renewals and Ask Midheaven credit packs, including any unused part of a billing period. Instead, you can cancel at any time: your membership then stops renewing, and you keep access until the end of the period you have paid for. On Founder Weekly, cancel before the free trial ends and you are not charged.
Nothing in these Terms limits any refund or cancellation rights you have under consumer protection laws that apply to you. If a payment is refunded, the membership or credits it paid for end. If a payment is reversed or charged back, we may end the membership or remove the credits it paid for.
6. Usage allowances and limits
A membership includes these allowances:
- Ask Midheaven: up to 15 questions in any rolling 24-hour period. Each included question becomes available again 24 hours after you ask it.
- Decision Briefs: up to 5 in any rolling 30-day period.
Allowances do not build up over time. If a question or Brief cannot be completed because of an error on our side, it does not count against your allowance.
To keep the Service reliable and prevent misuse, we also limit how many new readings, Blueprints, palm observations, questions and Briefs can be created in a short period. If you reach one of these limits, try again later. Your saved work stays available.
We may change allowances and limits as described in Changes to Midheaven and these Terms.
7. Ask Midheaven credits
- Where offered, members can buy extra Ask Midheaven questions as credits. A credit pack currently costs $2.99 for 25 additional questions, charged once. It is not a subscription.
- Your included questions are always used first. Credits are used only when no included question is available.
- You need an active membership, including a free trial, to use credits.
- Credits do not expire. They stay with the account that bought them and cannot be transferred, exchanged or redeemed for cash.
- If a question fails because of an error on our side, its credit is returned. If a credit purchase is refunded, the unused credits from that pack are removed.
8. The free Decision Brief
- Each midheavenhq.com account can create one free Decision Brief, for launch timing. The free Brief is not offered in the Whop app, where Midheaven requires a membership.
- The free Brief is calculated with Western astrology only. Vedic astrology, BaZi and palm observations are part of paid features.
- It is an introductory offer. If you become a member before using it, your membership’s Brief allowance replaces it, and the unused free Brief does not carry over.
- We may change or end the free offer at any time. This does not affect a free Brief you have already received.
9. Acceptable use
You agree not to:
- enter another person’s birth details, photos or other personal information without their permission;
- use Midheaven to identify, evaluate, profile or screen specific people, for example to decide whether to hire, promote, fire, pay, lend to, rent to, insure or admit someone;
- upload anything other than photos of your own open palms to the palm feature, and in particular any photo of a face;
- harass, deceive, defraud or harm anyone, or use the Service for anything unlawful;
- get around usage limits, allowances, payments or access controls, or create extra accounts to obtain additional free Briefs or trials;
- use bots, scrapers or other automated means to access the Service, overload it or interfere with how it works;
- probe, scan or test the Service’s security, or breach its security or authentication measures;
- copy, resell, sublicense or commercially redistribute the Service, or offer it to others as your own service;
- reverse engineer the Service or try to extract its source code, prompts or underlying data, except where the law allows this despite this restriction;
- try to make the AI produce harmful, unlawful or deceptive content, or reveal its instructions or other people’s information; or
- upload malware, or content that is unlawful, infringing or that you do not have the right to share.
We may investigate suspected violations and take appropriate action, including removing content, limiting features, or suspending or closing accounts (see Suspension and termination).
10. Your content
“Your content” means the information you provide to the Service, including your birth details, business profile, questions, Decision Brief inputs, Decision Log entries, palm photos and messages to support.
- You own your content. We do not claim ownership of it.
- You let us use it to run the Service. You give Midheaven a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit and display your content only as needed to provide, maintain and secure the Service for you, including by sending it to our service providers for those purposes. This license ends when your content is deleted, except for copies we must keep by law or that remain in backups until the backups expire.
- You are responsible for what you share. You confirm that you have the right to provide your content, that it is accurate to the best of your knowledge, and that providing it does not break these Terms or anyone else’s rights.
- Share only what is needed. Please do not put sensitive information that the Service does not need, such as health details or other people’s personal information, into free-text fields.
Palm photos are handled differently from other content: we use them to produce written observations and do not keep the photos. See Palm photos in our Privacy Policy.
We may use aggregated or de-identified information, which does not identify you, to understand and improve the Service.
11. AI-generated content
- Midheaven uses artificial intelligence, currently models provided by Anthropic and OpenAI, to write readings, answers and Briefs from calculated chart facts and the details you provide, and to describe what is visible in palm photos.
- AI output can be incomplete, inconsistent or wrong. It can sound more certain than it should, it may describe the same chart differently at different times, and other people may receive similar wording. Symbolic traditions differ across lineages, and correlations are interpretations rather than scientific conclusions.
- We check generated content automatically before saving or showing it, and we may withhold or limit output that does not pass those checks. Automated checks cannot catch every error.
- Using your readings. Subject to these Terms, you may use the readings, answers and Briefs generated for you for your own personal and internal business purposes, and you may share them. If you share them, do not present them as professional advice or as factual predictions. We do not grant exclusive rights in generated text.
- If you see output that seems harmful or inappropriate, please tell us at info@midheavenhq.com.
12. Our intellectual property
- The Service, including its software, design, written materials, methods, the structure of our readings and the Midheaven name and logo, belongs to Midheaven or our licensors and is protected by intellectual property laws. Apart from your content and the rights these Terms give you, we reserve all rights.
- Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable and revocable permission to use the Service for your own personal and internal business purposes.
- The Swiss Ephemeris is © Astrodienst AG, Switzerland, and is used under license.
- If you send us ideas or feedback, we may use them without any obligation to you.
- If you believe something in the Service infringes your copyright, email info@midheavenhq.com with a description of the work, where it appears in the Service and how to contact you.
13. Third-party services
- The Service relies on other companies, including Clerk for website sign-in, Whop for payments, memberships and the Whop app, and Anthropic and OpenAI for AI generation. Your Whop and Clerk accounts are also governed by their own terms and privacy policies.
- The Service links to third-party websites, such as Whop’s orders and help pages. We do not control third-party services and are not responsible for their content, policies or practices.
14. Disclaimers
Please read: what Midheaven is and is not
Astrology and palmistry are interpretive traditions, not scientifically validated methods of predicting business outcomes. This applies to every tradition Midheaven uses: Western astrology, Vedic astrology, BaZi and palmistry.
- For reflection only. Midheaven’s readings, Blueprints, answers and Briefs are for reflection, journaling, information and entertainment. They are not factual assessments, predictions or guarantees.
- Not professional advice. Nothing in the Service is financial, investment, legal, tax, accounting, employment, medical, psychological, mental-health or other professional advice. These interpretations do not guarantee outcomes or replace professional advice. For advice about your situation, consult a qualified professional.
- No guaranteed results. We do not promise any business result, revenue, timing or outcome from following a reading. Historical examples describe personal practices and do not establish that astrology predicts business outcomes.
- AI can be wrong. AI-generated text may contain errors, omissions or inconsistencies.
- Your decisions are yours. Weigh what you read against customer feedback, your numbers and advice from qualified professionals. You alone are responsible for your decisions and their consequences.
- Not for emergencies. Do not use Midheaven for medical, mental-health, legal or emergency decisions. If you are in immediate danger or crisis, contact your local emergency services.
The Service is provided “as is”
To the fullest extent permitted by law, the Service and all content in it are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy. We do not promise that the Service will be uninterrupted, timely, secure or error-free, that readings will be accurate or reliable, or that defects will be corrected.
Some places do not allow certain warranties to be excluded, so some of these exclusions may not apply to you. If you are a consumer, you may have legal rights that these Terms cannot change.
15. Limitation of liability
To the fullest extent permitted by law:
- No indirect losses. Midheaven and its owners, employees, contractors and licensors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill or data, arising out of or relating to the Service or these Terms. This includes losses from business or personal decisions you make based on a reading, answer or Brief, even if we were told such losses were possible.
- Cap on our liability. Our total liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the amount you paid for the Service in the 12 months before the event that gave rise to the claim, and (b) US$100.
These limits apply whatever the legal theory, whether contract, tort (including negligence), statute or otherwise, and even if a remedy fails of its essential purpose.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence. If you live in the European Union or the United Kingdom, we are also responsible for loss you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable care and skill, and these Terms do not affect your statutory rights. Some US states do not allow certain damages to be excluded or limited, so some of these limits may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Midheaven and its owners, employees and contractors from claims, losses, liabilities and expenses, including reasonable legal fees, brought by third parties that arise from your breach of these Terms, your violation of the law or of someone else’s rights, or content you submitted without the right to do so. We will give you notice of any such claim and may choose to control its defense. This section does not apply to consumers where local law does not allow it.
17. Suspension and termination
- You can stop at any time. Cancel your membership as described in Memberships, trials and billing. To delete your account data, email info@midheavenhq.com; the Privacy Policy explains how.
- We may suspend or close accounts. We may suspend or limit your access, or close your account, if you break these Terms, if a payment fails, if the law requires it, or to protect the Service, our users or others from harm, security threats or abuse. Where appropriate and lawful, we will tell you why.
- We may end the Service. We may stop offering the Service or any part of it. If we end the Service entirely, we will give you reasonable notice where practical.
- Parts of these Terms that by their nature should continue after termination will continue, including those on your content, disclaimers, limitation of liability, indemnification, disputes and general terms.
18. Changes to Midheaven and these Terms
- The Service will change. Features may change as the Service improves. We may add, change or remove features, allowances and limits. If a change materially reduces what your paid membership includes, we will tell you in advance where practical, and you can cancel.
- These Terms may change. We may update these Terms from time to time. The date at the top shows when they were last updated. If a change is material, we will tell you before it takes effect, by email or with a notice in the Service. Changes do not apply retroactively.
- If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and cancel your membership.
19. Resolving disputes
- Talk to us first. If you have a concern or dispute, please email info@midheavenhq.com. We will try to resolve it informally, and most concerns can be settled quickly this way.
- Payment disputes. Disputes about charges are handled through Whop, which processes payments under its own terms.
- Your legal rights. If you are a consumer, you keep the protection of the mandatory laws of the place where you live, including any right to bring a claim in your local courts. Nothing in these Terms takes those rights away.
- Governing law. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Subject to your legal rights above, disputes will be heard in the state or federal courts for Pinellas County, Florida.
20. General terms
- Entire agreement. These Terms, the Privacy Policy and any terms shown at checkout are the whole agreement between you and Midheaven about the Service.
- Severability. If any part of these Terms is found to be unenforceable, the rest stays in effect, and that part is applied as far as the law allows.
- No waiver. If we do not enforce a right straight away, we have not given it up.
- Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours as part of a merger, acquisition, reorganization or sale of all or part of our business.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages at our service providers, internet failures, natural disasters or government action.
- Electronic communications. You agree that we may communicate with you electronically, by email or in the Service, and that these communications satisfy any requirement for communications in writing.
- Our relationship. These Terms do not create a partnership, employment, agency or fiduciary relationship. Midheaven does not act as your advisor.
- No third-party rights. These Terms do not give rights to anyone other than you and Midheaven.
